Terms & Conditions

These Terms and Conditions apply to all services provided by us, Art Distribution Ltd, a company registered in England and Wales (Company No. 13059960), with our registered address at Office 3, 28-30 Rivington Street, London, EC2A 3DZ (referred to as “we/us/our”).

1. Definitions and Interpretation
1.1

  • Account Holder: A customer of Art Distribution Ltd with a credit account

  • Consumer: As defined in the Consumer Rights Act 2015

  • Contract: The contract for our services as explained in clause 2

  • Customer/you/your: The Consumer, business Account Holder, or Web User who makes a booking

  • Services: The courier services we provide

  • Web User: A customer of www.artdistribution.co.uk

  • Website: www.artdistribution.co.uk

References to “writing” include emails.
References to legislation include updated versions.
“These Terms and Conditions” includes any updated terms.
“Clause” refers to clauses in this document.
“Party”/”Parties” refers to both you and us.
Headings are for reference only. Singular includes plural and vice versa. “Person” includes companies.

2. How the Contract is Formed
2.1 For Account Holders: A contract is formed when you accept our quotation (valid for 7 days unless stated otherwise).
2.2 For Web Users: Booking via the website is an offer. A contract is only formed when we confirm by email.

3. Price and Payment – Web Users
Prices shown on the website are estimates. Final prices are confirmed by email.
Refunds are issued within 14 days if we cannot accept or fulfil a booking.
We are not obliged to honour pricing errors.
Prices include VAT where applicable.
Payments are processed by secure third-party gateways (e.g., Stripe).
Additional or cancelled services will be invoiced separately.

4. Price and Payment – Account Holders
A credit application must be approved before bookings.
We may change or remove credit terms without notice.
Prices exclude VAT unless stated otherwise.
Invoices are due within 30 days unless otherwise agreed.
Late payments may incur 8% annual interest over Bank of England base rate and recovery fees.
We may request upfront payment if credit is not approved or exceeded.

5. Your Obligations
You must provide accurate delivery details, value, description, and instructions.
Ensure items are securely packed and legal for transport.
Prohibited goods (e.g., firearms, animals, illegal items) are not accepted.
Incorrect or incomplete information may result in cancellation and no refunds.
You are responsible for loading/unloading unless agreed otherwise.
Goods may be opened and examined for safety reasons.
Notify us of changes immediately. Extra charges may apply.

6. Delivery
Transit begins at collection and ends upon delivery or after 24 hours if not collected.
Proof of delivery may be required. If not signed, we are not liable for disputes.
Failed deliveries due to incorrect details may incur extra charges.
Goods uncollected after 7 days may be disposed of or sold to cover costs.
30 minutes allowed for loading/unloading. Extra time will incur charges.
Delivery times are estimates, not guarantees.

7. Cancellation
You may cancel at any time by written notice:

  • 25% fee if cancelled after booking is confirmed

  • 50% fee if cancelled on the collection day

  • 100% fee if cancelled after dispatch

Refunds (if applicable) will be processed within 14 days.
We may cancel if you breach your obligations.
If we cancel for any other reason, you’ll receive a full refund.

8. Liability and Indemnity
We are liable for foreseeable losses caused by our breach or negligence.
We are not liable for lost profits, business interruptions, or indirect losses.
Total liability is limited to the lower of:

  • Value of lost/damaged goods

  • Repair/replacement cost

  • £1,300 per tonne (gross weight)

Claims must be made within 14 days. Proof of value and weight is required.
We are not liable for damage caused by poor packaging.
Your statutory consumer rights are not affected.

9. Data Protection
Both parties must comply with the GDPR and Data Protection Act 2018.

10. Events Outside Our Control
We are not liable for delays caused by events beyond our control, including natural disasters, strikes, war, or government actions.

11. Road Haulage Association
We are members of the RHA. RHA Conditions of Carriage apply unless they conflict with our Terms.

12. Other Important Terms
We may transfer our rights or obligations to a third party.
You may not assign your rights without our written permission.
These Terms are for you and us only, not third parties.
Unlawful clauses will be removed without affecting the rest.
No delay in enforcing rights means we waive them.

13. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
Any disputes will be handled by the courts of England and Wales.
